These terms of use (“these terms”) tell you the rules for using our website www.supplychange.co.uk (“our site or “the Supply Change Platform”).
www.supplychange.co.uk is a site operated by Supply Change Limited ("We" or “Supply Change”). We are a limited company registered in England and Wales under company number 11496996 and our registered office is at 9 Liberia Road, London, United Kingdom. We are not VAT registered. By using our site, you accept these terms
By using our site, you confirm that you accept these terms and agree to comply with them. Where you are using our site on behalf of an organisation you confirm that you have the authority to do so on behalf of that organisation. If you do not agree to these terms, you must not use our site. We recommend that you keep a copy of these terms for future reference. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms and comply with them.

Our site is made available free of charge, although parts of our site are accessible only to members of Supply Change who have paid a membership fee. We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons.
Our site is only for users in England or Wales
Our site is directed to people in England or Wales. We do not represent that content available on or through our site is appropriate for use or available in other locations.
You must keep your account details safe
If you choose, or you are provided with, a user identification code, account, password or any other information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party and are responsible for keeping it secure.
You are solely and fully responsible for all activities that occur under your user identification code, account, password or other security information, even if not specifically authorised by you.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms.

How you may use material on our site
We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright and intellectual property laws and treaties around the world. All such rights are reserved.
You may print off one copy, and may download extracts, of any page(s) from our site for your personal or business use and you may draw the attention of others within your organisation to content posted on our site.
You must not use our site for journalistic or investigative purposes unless you have disclosed this to us in advance and we have agreed to this.
You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

Information on this site
Information provided on this site is intended to showcase social enterprise contractors, suppliers and service providers (“Suppliers”) to help them make connections with potential buyers of their services.
Whilst Supply Change will seek to verify the social enterprise status, confirmation of size, key financial information, impact assessment and confirmation of insurances and policies of potential Suppliers, users of our site should carry out their own checks of this information before engaging any Supplier. No liability is accepted by Supply Change for any incorrect information that may be provided.
We do not have any control over the quality of work undertaken by any Supplier or the suitability of any Supplier for a particular contract. Suppliers are independent contractors and are not agents, subcontractors, partners, or franchisees of Supply Change. Supply Change does not supervise, direct, control or monitor the work of any Supplier. Any concerns or disputes you have with a Supplier must be resolved with that Supplier and Supply Change will not become involved in the resolution of any such concerns of disputes.
We do not have any control over the quality of work undertaken by any Supplier or the suitability of any Supplier for a particular contract. Suppliers are independent contractors and are not agents, subcontractors, partners, or franchisees of Supply Change. Supply Change does not supervise, direct, control or monitor the work of any Supplier. Any concerns or disputes you have with a Supplier must be resolved with that Supplier and Supply Change will not become involved in the resolution of any such concerns of disputes.
The content on our site is provided for information only and is not intended to amount to advice on which you should rely. You should obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.
Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date. In particular, Supply Change gives no warranties or representations about the suitability, reliability, experience, expertise, technical and professional ability or economic and financial standing, of any Supplier or about the quality, timeliness and accuracy or reliability of their work or customer service.
Supply Change is not to be regarded as a party to any contract with a Supplier in relation to any works, services or supplies that are to be provided by that Supplier following their engagement via the Supply Change Platform.
We are not responsible for websites we link to
Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as an endorsement by us of those linked websites or information you may obtain from them.
We have no control over the content, availability or accuracy of those sites or resources. The use of any website operated by any third party is subject to the terms of use and privacy policy for that website. Accessing any such third-party websites is at your own risk.
User-generated content is not approved by us
Our site may include information and materials uploaded by other users of the site, including to bulletin boards and chat rooms. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.
Prohibited uses
You may use our site only for lawful purposes and in good faith. You may not use our site:

in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect;

Content standards
The following content standards apply to any and all material which you contribute to our site (“Contribution”).
These content standards must be complied with in spirit as well as to the letter. These content standards apply to each part of any Contribution as well as to its whole.
Supply Change will determine, in its discretion, whether a Contribution breaches our content standards. We may remove any Contribution that we consider breaches our content standards.
A Contribution must:

comply with the law applicable in England and Wales and in any country from which it is posted.
A Contribution must not:

infringe any copyright, database right, trade mark or other intellectual property right of any person;

advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse;

be obscene, offensive, hateful or inflammatory or include or promote sexually explicit material;

bully, insult, intimidate, humiliate or be defamatory of any person;

be threatening or abusive or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;

be likely to harass, upset, embarrass, alarm or annoy any other person;
-
promote violence or contain a statement which other website users are likely to understand as an encouragement to commit, prepare or instigate acts of terrorism;

promote unlawful discrimination based on age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, paternity, race, religion or belief, sex or sexual orientation or part time or temporary status or any other protected characteristic;

be likely to deceive any person;

breach any legal duty owed to a third party including a contractual duty or a duty of confidence; or

be in contempt of court.
How to complain about content
If you wish to complain about any content on our website (including content uploaded by other users), or believe in good faith that any such content infringes on your copyright or other intellectual property rights, please contact us at hello[at]supplychange.co.uk. Please give full details of the content, where it is located and why either you consider that it should be removed or that an infringement has taken place.
Our responsibility for loss or damage suffered by you
The Supply Change Platform is provided on an “as is” basis and you acknowledge that your use of our site is at your own risk.
We limit our liability to you as follows:

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation;

Subject to this, we exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it;

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

use of, or inability to use, our site; or

use of or reliance on any content displayed on our site (including any Contribution and any material generated by Supply Change); and
-
In particular, we will not be liable for:

loss of profits, sales, business, or revenue;

business interruption, loss of data or computer damage or failure,

loss of anticipated savings;

loss of business opportunity, goodwill or reputation; or

any indirect or consequential loss or damage.
Uploading content to our site
Whenever you use a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out these terms.
You warrant that any such Contribution does comply with those content standards, and you agree to indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
Any Contribution you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our site a limited licence to use, store and copy that content and to distribute and make it available to third parties. The rights you license to us include the right for us to distribute, reproduce, modify, display and make derivative material based on your Contribution, and to licence other users of our site also to do so.
We may disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.
We may remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in these terms.
You solely are responsible for securing and backing up your content.
We are not responsible for viruses and you must not introduce them
We do not guarantee that our site will be secure or free from bugs or viruses.
You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.
You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.
You must not attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer or database connected to our site.
You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.
By breaching this provision, you would commit a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
Rules about linking to our site
You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
You must not establish a link to our site in any website that is not owned by you.
Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.
We reserve the right to withdraw linking permission without prior notice.

Breach of this policy
When we consider that a breach of this policy has occurred, we may take such action as we deem appropriate. This may include some or all of the following actions:

immediate, temporary or permanent withdrawal of your right to use our site;

immediate, temporary or permanent removal of any Contribution uploaded by you to our site;

issue of a warning to you;
-
legal proceedings against you for reimbursement of all costs on an indemnity basis (including our reasonable administrative and legal costs) resulting from the breach.

further legal action against you; and/or
-
disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
We exclude our liability for all action we may take in response to breaches of these terms. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.
You agree to indemnify Supply Change against all liability, demands, actions, claims, proceedings, liability, losses, judgments , costs (including legal costs on a “professional and own client” basis), charges, taxes, duties, payments and expenses Supply Change may incur as a result of your using our site in breach of these terms, including any infringement of the intellectual property rights of any third party.
You agree to receive any notices under these terms electronically to any email address registered by you to access our site or by notices on our site and that such notices will be deemed to be “in writing”.
If we terminate your right to use our site, you must not register or create a new account under your name, a borrowed or fake name, or any third-party name, even if you are acting on behalf of that third party.
If your right to use the Supply Change Platform is terminated, these terms will remain enforceable against you.
Which country's laws apply to any disputes?
These terms, their subject matter and their formation (and any disputes or claims relating to them) are governed by English law.
We both agree to the exclusive jurisdiction of the courts of England and Wales.
